1. Acceptance of Terms

By accessing or using the Sendr platform operated by [Sendr entity name] (“Sendr,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, you may not use the Service.

2. Description of Service

Sendr is a web-based platform that enables businesses to connect their WhatsApp Business Account (WABA) through Meta's official Cloud API, manage approved message templates, and send marketing campaigns to phone number lists. Campaigns are funded through a prepaid wallet (powered by Stripe). Sendr operates in Coexistence mode, allowing your WhatsApp number to work simultaneously in the phone app and on the platform.

3. Accounts & Registration

  • You must provide accurate, complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials and for all activity under your account.
  • You must be at least 18 years old and have the authority to bind the business entity you represent.
  • One organization may have multiple members, but each member must have their own account.
  • Notify us immediately at [contact email] if you suspect unauthorized access to your account.

4. WhatsApp Messaging Rules

By using Sendr to send WhatsApp messages, you agree to comply with all applicable Meta and WhatsApp policies, including but not limited to:

  • WhatsApp Business Policy — including requirements for opt-in consent, template approval, and message quality.
  • WhatsApp Commerce Policy — restrictions on product categories and prohibited content.
  • Meta Platform Terms— the overarching developer and platform policies governing use of Meta's APIs.

You specifically agree that:

  • You will only send messages to recipients who have given prior opt-in consent to receive marketing messages from your business.
  • You will only use Meta-approved message templates for marketing campaigns.
  • You will promptly honor opt-out requests from recipients (e.g., “STOP” messages) and add them to your suppression list.
  • You will not use the platform to send spam, fraudulent, deceptive, or illegal content.
  • You understand that Meta may restrict or revoke your WABA access based on message quality and compliance, and Sendr is not responsible for such actions.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Send unsolicited messages, spam, or phishing content.
  • Attempt to gain unauthorized access to our systems, other user accounts, or connected third-party services.
  • Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Interfere with the integrity or performance of the Service or the data contained therein.
  • Use the Service to transmit malware, viruses, or harmful code.
  • Resell, sublicense, or redistribute access to the Service without our written consent.

6. Payments & Wallet

  • Prepaid model: Sendr operates on a prepaid wallet system. You must add funds before sending campaigns. There are no monthly subscription fees.
  • Message costs: each message sent through the platform incurs a per-message cost based on the destination country, as displayed in the pricing calculator. Costs are deducted from your wallet balance in real time.
  • Payment processing:all payments are processed by Stripe. By adding funds, you agree to Stripe's terms of service.
  • Refunds: unused wallet balances may be withdrawn according to our refund policy. Message costs for successfully delivered messages are non-refundable.
  • Taxes: prices may not include applicable taxes. You are responsible for any taxes imposed on your use of the Service.
  • Balance expiry: wallet funds do not expire.

7. Intellectual Property

The Sendr platform, including its design, logos, software, and documentation, is the property of [Sendr entity name] and is protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service without our prior written consent.

“WhatsApp” and “Meta” are trademarks of Meta Platforms, Inc. Sendr is an independent platform and is not affiliated with, endorsed by, or sponsored by Meta.

8. User Content & Data

You retain ownership of the content you create, upload, or transmit through the Service (contact lists, campaign content, template parameters). You grant us a limited license to process this content solely as necessary to provide the Service.

You represent that you have all necessary rights and consents to upload contact data and send messages to the recipients in your lists.

9. Third-Party Services

The Service integrates with third-party services including Meta (WhatsApp Cloud API), Stripe, and others listed in our Privacy Policy. These services are governed by their own terms. We are not liable for the availability, accuracy, or actions of third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE MESSAGE DELIVERY RATES, WHICH ARE SUBJECT TO META'S SYSTEMS AND POLICIES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [Sendr entity name] SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless [Sendr entity name], its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party (including WhatsApp recipients and Meta).

13. Termination

  • By you: you may delete your account at any time. Unused wallet funds may be withdrawn before deletion.
  • By us:we may suspend or terminate your access if you violate these Terms, Meta's policies, or applicable laws. We will provide notice where practicable.
  • Effect: upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of [jurisdiction]. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of [jurisdiction].
